Jordan is a corporate transactional attorney who focuses his practice on commercial real estate development with extensive experience in representing private companies in a broad range of transactions, including mergers and acquisitions, asset sales, stock sales, joint ventures, and venture capital investments.
Jordan is a recognized authority on all facets of real estate development. He represents local and national real estate developers in the areas of real estate acquisition, leasing, site development, including the purchase, sale and leasing of office buildings, shopping centers, mobile home communities, industrial and warehouse complexes, and multi-family residential communities. He has a full range of experience representing buyers and sellers in complex acquisition transactions, including stock purchases, mergers and asset purchases in real estate. Jordan’s real estate experience also includes representing real estate companies in tax assessment appeals and land use and zoning matters.
Jordan regularly serves as outside general counsel to the firm’s corporate clients providing seasoned legal advice in relation to their governance, operations, long term growth strategies and typical corporate life cycle events including formation, capitalization, equity investment, commercial transactions, debt financing, acquisitions, divestitures and succession planning. Jordan has counseled numerous parties through the formation and structuring of new entities and ventures, and has extensive experience in drafting and negotiating limited liability company operating agreements, partnership agreements, buy-sell agreements and other organizational documents. He works with a wide variety of corporate startups, counseling the founders on the various issues and tax implications facing new business owners.
Jordan also represents a number of local and regional financial institutions in single asset and multiple property secured financing transactions, construction and project development financings, securitized mortgage and mezzanine financings, commercial secured and unsecured term loans and line of credit facilities, loan participations and syndications.
Jordan’s practice has recently expanded into the fine art world. He now represents clients in the formation and governance of art investment funds, and counsels clients on structuring such funds, crafting their investment strategies and operational protocols and complying with regulatory issues arising from their operation.
A native of Rochester, Jordan graduated from Pittsford Sutherland High School, completed his undergraduate studies at the University of Western Ontario in London, Ontario, Canada, and graduated from the University of Pittsburgh School of Law. Since returning to Rochester, he has become active in a number of charitable and community based organizations.
Jordan is an avid golfer and skier. He trains regularly at Flower City Crossfit, Orange Theory and runs in several 10k races annually. Jordan lives in Pittsford with his wife, two sons, and daughter.
